Legit Terms of Service

These Terms of Service ("Terms") govern your access to and use of Legit, a personal networking assistant (the "Service") provided by Cedar AI Agents, Inc. ("Cedar," "we," "us," or "our"), a corporation incorporated in British Columbia, Canada. Cedar's platform for organizations has its own Terms of Service; these Terms apply to Legit only.

By signing in to your Legit account, texting Legit once texting is available, or otherwise using Legit, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

1. The Service

Legit lets you import the people you know, choose who to share them with, and ask for introductions. Legit checks with the other side first and sends only what both of you agreed to, from accounts you connected.

2. Your Account

Your account is the account you sign in with at app.getcedar.ai/legit and, once texting is available, the phone number you text Legit from. You must be at least 18 and may only use an account and a number you control. You are responsible for messages sent to Legit from your account or that number, for keeping your sign-in details, your phone and your Legit account secure, and for all activities that occur through your account. You must notify Cedar immediately at legit@getcedar.ai if you become aware of any unauthorized use.

3. Your Data and Other People's

You keep ownership of what you import and connect. When you import contact details of other people, you confirm you are entitled to share them with Cedar for the purposes described in the Legit Privacy Policy, and you agree to share individuals only with people you trust. Cedar processes your data solely to provide Legit, as described in these Terms and in the Legit Privacy Policy.

Cedar will not:

• Use your data to train general-purpose AI or machine learning models
• Sell, license, or share your data with third parties except as necessary to provide Legit
• Use your data for any commercial purpose other than delivering Legit to you
• Retain your data after you delete your account beyond the period required to complete deletion as described in the Legit Privacy Policy

4. AI Features

Legit includes artificial intelligence and machine learning features ("AI Features") that process your messages and the information you import or connect to find people you know and compose introductions. All AI outputs are suggestions only: Legit sends nothing unless you asked for it and the other side agreed, and all decisions remain with you.

You own all inputs submitted to and outputs generated by AI Features in connection with your use of Legit. Cedar uses AI content only as necessary to provide the AI Features to you.

5. Introductions and Messages

Legit sends messages only as you have asked it to and only after the other side has agreed. Emails go out from your own connected address, or are placed in your drafts for you to send. You are responsible for the content of introductions sent from your accounts.

6. Connected Accounts

You may connect accounts such as Gmail, Google Contacts and Google Calendar. When you do, Legit asks for all the permissions it may use in one screen; you can decline any of them and a feature that needs a declined permission stays off. You can disconnect an account at any time from your Legit account page. Cedar's use of data from connected Google accounts is described in Section 3 of the Legit Privacy Policy.

7. Acceptable Use

You agree not to use Legit to:

• Violate any applicable law or regulation, including privacy and anti-spam laws
• Process other people's data in violation of your obligations to them
• Send bulk outreach, scrape, impersonate anyone, harass anyone, or contact people who have asked not to be contacted
• Attempt to access other users' data
• Reverse engineer, decompile, or attempt to extract source code from Legit
• Interfere with or disrupt the integrity or performance of Legit
• Build a competing product or service

Cedar may suspend accounts that do.

8. Confidentiality

Each party agrees to protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Neither party will disclose the other's confidential information to third parties without prior written consent, except as required by law.

9. Security

Cedar maintains appropriate administrative, physical, and technical safeguards to protect your data. Cedar's infrastructure is hosted on Google Cloud Platform (GCP) with AES-256 encryption at rest and TLS 1.2+ in transit. Cedar is actively pursuing SOC 2 Type II certification, with audit completion targeted for Q4 2026.

Cedar will notify you promptly in the event of a confirmed security breach affecting your data and will take appropriate steps to mitigate harm.

10. Fees

Legit for personal use is free. Cedar may introduce paid features with notice, and any fees will be as presented to you before you choose a paid feature.

11. Term and Termination

These Terms remain in effect while you use Legit. You may delete your account at any time at app.getcedar.ai/legit, or by emailing legit@getcedar.ai. Cedar may suspend or end accounts that breach these Terms. Upon termination, Cedar will delete your data within 30 days, as described in the Legit Privacy Policy, and provide written certification upon request.

12. Warranties and Disclaimers

Cedar warrants that Legit will perform materially in accordance with applicable documentation. EXCEPT AS EXPRESSLY SET FORTH HEREIN, LEGIT IS PROVIDED "AS IS" AND "AS AVAILABLE" AND CEDAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Cedar does not guarantee that an introduction will be answered or that information about other people is current or accurate.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEDAR'S AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR LEGIT WILL NOT EXCEED THE FEES PAID BY YOU TO CEDAR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL CEDAR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

The foregoing limitations do not apply to Cedar's liability for breach of its confidentiality, data privacy, or data security obligations, or to liability that cannot be limited by law.

14. Indemnification

Cedar will defend, indemnify, and hold you harmless from third-party claims arising from Cedar's breach of its confidentiality, data privacy, or data security obligations under these Terms. You will defend, indemnify, and hold Cedar harmless from third-party claims arising from your use of Legit in violation of these Terms or applicable law.

15. Sub-Processors

Cedar uses sub-processors to deliver Legit. The current sub-processors, and the purpose for which each processes data, are listed in Section 5 of the Legit Privacy Policy at getcedar.ai/legit-privacy. Cedar ensures all sub-processors are bound by data protection obligations consistent with these Terms.

16. Changes to Terms

Cedar may update these Terms from time to time. Material changes will be announced to active users by email or a notice in the app, and by text where you use Legit over text messages, with at least 30 days' notice. Continued use of Legit after the effective date of any change constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the Province of British Columbia, Canada, excluding its conflict of laws principles. Any disputes arising under these Terms will be resolved by binding arbitration at a mutually agreed neutral location, unless otherwise agreed in writing.
